现在发行公司须用标准法定格式全面公开各种经过严格调查和鉴定商业信息。为了保证公开信息可靠性，承销人（在IPO情况下通常由首席投行带领）在三个层面上“勤责”。在法律层面，他们须验证公司有没有税收问题、诉讼风险和其他法律上红灯。在财务上，公司须透露至少五年内各项报表，所有债务和产权在资产负债表上须清楚列出。在运营层面，承销人须检查公司所有部门或工厂、竞争对象、管理班子身份和背景等等。
